Vertex set to acquire Crinetics Pharmaceuticals, adding endocrinology assets with significant commercial and pipeline potential

Vertex Pharmaceuticals and Crinetics Pharmaceuticals have entered into a definitive agreement under which Vertex will acquire Crinetics at eighty-five dollars per share in cash, placing the total equity value of the transaction at approximately ten billion dollars, or around eight-point-eight billion dollars net of estimated cash acquired. Both companies’ boards of directors gave unanimous backing to the deal, which is expected to close in the third quarter of 2026.
Crinetics’ marketed medicine PALSONIFY (paltusotine) received US Food and Drug Administration approval in September 2025 and has since also been cleared by the European Medicines Agency, with reviews ongoing in additional markets. It stands as the first and only once-daily oral therapy for adults with acromegaly, a rare and debilitating condition in which a pituitary tumour drives excess growth hormone production, affecting an estimated 20,000 diagnosed individuals in the US. The medicine delivers rapid disease control and normalisation of key disease markers across both previously treated and untreated patient groups. Since its commercial launch, PALSONIFY has built encouraging early momentum, with strong demand across all patient segments, an expanding prescriber base, and growing reimbursement coverage all pointing to its potential to reshape how acromegaly is treated.
Atumelnant, Crinetics’ most advanced pipeline candidate, is a once-daily oral adrenocorticotropic hormone receptor antagonist currently in Phase 3 development for congenital adrenal hyperplasia. The classic form of the disease, which represents the most severe variant and affects around 17,000 addressable patients in the US, is a rare chronic genetic condition of the adrenal glands carrying significant unmet need. The condition is characterised by impaired cortisol production and, in most cases, excess androgen levels, both of which drive a range of serious health consequences. Phase 2 data showed that patients on atumelnant were able to bring excess androgen levels close to normal while using physiologic replacement doses of glucocorticoids, a therapeutic profile that positions the medicine as a potential leading treatment for those struggling with congenital adrenal hyperplasia. Atumelnant has been generally well tolerated to date, with no treatment-related severe or serious adverse events recorded.
