Neurocrine Biosciences set to acquires Soleno Therapeutics in $2.9 billion rare disease deal

Neurocrine Biosciences has recently agreed to acquire Soleno Therapeutics in an all-cash transaction valuing the company at $2.9 billion, adding a first-in-class treatment for Prader-Willi syndrome to its growing portfolio of rare and speciality medicines.
Note that the deal centres on VYKAT XR, a drug that addresses hyperphagia, the defining and most debilitating feature of Prader-Willi syndrome. Hyperphagia is a chronic, life-threatening condition characterised by an unrelenting and compulsive drive to seek food, driven by neurological dysfunction rather than lifestyle. It causes significant morbidity and mortality in affected individuals and places enormous strain on their families. VYKAT XR is the first and only FDA-approved treatment for this condition in the United States.
Prader-Willi syndrome itself is a rare genetic disorder affecting around 10,000 patients in the US, caused by abnormal gene expression on chromosome 15. Beyond hyperphagia, patients typically experience cognitive impairment, metabolic dysfunction and a range of behavioural and psychiatric challenges, making it one of the more complex rare disease profiles in medicine.
A Commercial Product Already Gaining Momentum
For investors, the financial picture is already compelling. VYKAT XR received FDA approval in March 2025 and launched in the second quarter of the same year. In its first year on the market it generated $190 million in revenue, including $92 million in the fourth quarter alone, suggesting strong and accelerating uptake. Neurocrine believes it can drive further growth by deploying its established commercial and medical infrastructure behind the product.
Kyle Gano, Chief Executive Officer of Neurocrine, said the transaction would “accelerate revenue growth and portfolio diversification” while deepening the company’s commitment to the Prader-Willi community. Soleno’s outgoing CEO Anish Bhatnagar described Neurocrine as “the right strategic partner” given its track record in endocrinology and rare disease commercialisation.
What This Means for Neurocrine
Following completion of the deal, Neurocrine will hold three marketed first-in-class therapies. INGREZZA, its treatment for tardive dyskinesia and Huntington’s disease chorea, generated $2.51 billion in 2025 revenue. CRENESSITY, approved in late 2024 for congenital adrenal hyperplasia, contributed $301 million. VYKAT XR adds a third growth engine at an earlier commercial stage. Together the company believes this portfolio positions it for sustained revenue growth through the end of the decade.
The intellectual property underpinning VYKAT XR is expected to extend into the mid-2040s, providing a long runway for value creation well beyond the near term.
In addition, the transaction is expected to close within 90 days, subject to customary regulatory approvals.
