Bio Techne shareholders approve acquisition by Merck KGaA

Bio Techne shareholders have approved the company’s proposed acquisition by Merck KGaA, Darmstadt, Germany, moving the transaction closer to completion.
The vote took place at a Special Meeting of Shareholders, where investors approved and adopted the definitive merger agreement covering the proposed acquisition.
Bio Techne is a global supplier of life science tools, reagents and diagnostic products.
Kim Kelderman, President and Chief Executive Officer of Bio Techne, said shareholder support represents an important milestone in the transaction process.
He said the combination with Merck KGaA would bring together two complementary life sciences businesses and create a broader organisation capable of supporting customers across discovery, translational research, development, testing and commercial manufacturing.
Bio Techne also said the transaction is expected to provide shareholders with substantial near term cash value.
The company plans to report the final certified voting results in a Form 8 K filing with the U.S. Securities and Exchange Commission.
The proposed acquisition has also cleared another regulatory step in the United States.
The waiting period under the Hart Scott Rodino Antitrust Improvements Act expired on 18 September 2026.
Bio Techne continues to expect the transaction to close in late 2026 or early 2027.
Completion remains subject to customary closing conditions, including receipt of the remaining required regulatory approvals.
